Anyway, kind of "solved" the issue.
Now my Windows runs ok and actually snappy.
I did some analysis on Even Viewer log notifications and this kind of directed me to the WPAD service making a problems, so I tried to disable it using various methods I found on net...
OK, have to say I am kind of giving up :(
This is defiantly does not look as a problem with one service, its looks like some weried timing/timeout issue.
Basically what happens is , that when number of services starting surpass some amount/start time I am starting to get this issue.

Actually disabling cards is what I has tried as well, removing Intel is not an option as it onboard , removing optic card I tried with no success.
Anyway, after disabling all non-microsoft services (though msconfig) the problem is gone and boy the way snappier computer...
Have exactly same issue.
Some more details on it:
1. The situation is actually that computer does get connected to network at start, but once you login it get disconnected and can't find DHCP server for about a minute, after that it works.
